Winter People  Terms of Business

Scope

These Terms of Business are those which generally apply between Winter People and its clients. This document is automatically superseded where amended Terms of Business are agreed between Winter People for a particular client or for a particular piece of work where such amended terms of business have been signed by Winter People and the client.


Confidentiality of Information


Winter People will not use to the detriment or prejudice of the client or any of its customers any confidential information about the client. This includes its business, accounts, finances, research projects, pricing policy, future business strategy, marketing strategies and plans, customer lists, discount rates and sales figure arrangements with suppliers tender, pitches plans or strategies. This restriction will continue to apply after the termination of the contract.


Intellectual property


In order to protect intellectual property and copyright it will be agreed that any process design or product created as a result of contracts between Winter People and each client remains the shared intellectual property of Winter People and the appropriate client.


Working Arrangements


The delivery (duration, location, etc.) of the contract between Winter People and the client will be as specified in the Winter People proposal with costs. Clients will appreciate that the nature of the work being undertaken often necessitates preparation and follow up work being completed away from the client's premises.



Limitation of Liability - Winter People will not be liable for damage, costs, claims or expenses suffered or incurred by its clients directly or indirectly arising from or connected with the services provided by the Winter People however they occur. (This includes loss of profit, business, contracts, revenue or anticipated savings)

Handling of Information - The client acknowledges and consents that any information about it or any part of the organisation and its activities may be kept on computer or any other filing form and processed or handled by Winter People for the purpose of providing the services.


Payment Terms - Winter People will invoice promptly on completion of agreed work or monthly in arrears where this is appropriate. Payment of Winter People invoices is expected within 30 days of receipt. Payment by bank transfer is preferred.
